PETROMIN BOARD OF DIRECTORS

Petromin is headed by a professional board with national and international standing.

The Board of Petromin is appointed in accordance with a process specified in the Company Constitution and includes the application of the Fit-and-Proper Guidelines. The Trust Manager recommends to the Trustee Shareholder, candidates who meet the requirements for appointment as directors of the Board of Petromin. The Constitution of Petromin specifies that all but two of the directors will be distinguished Papua New Guineans.

Mr. Brown Bai

Mr. Brown Bai, CBE, CSM
Chairman

Brown Bai is a distinguished former Public Servant, including Ambassador to Brussels and the European Community, Secretary for Treasury, Managing Director of PNG Banking Corporation as well as Secretary to the Department of Prime Minister & NEC.
He has a Bachelor's degree in Economics from the University of Papua New Guinea.
He is currently a private consultant and was a director of Ramu Sugar Limited and is currently a director of Hargy Oil Palm Limited, Goodman Fielder (PNG) International, Cargil PNG Ltd, Galley Reach Holdings Ltd, Public Sector Reform Advisory Group, PNG Microfinance Ltd. He is the Chairman and Managing Director of PNG Palm Oil Producers Association and the Chairman of the Rural Industries Council.


Mr. Joshua Kalinoe

Mr. Joshua R. Kalinoe, CSM, CBE
Executive Director and CEO

Mr Joshua Kalinoe is the CEO and Managing Director of Petromin PNG Holdings Limited.

He has a Masters Degree in Business Administration from Bond University, Queensland, Australia. He is also a graduate in Economics from UPNG and was lecturer in the Business Economics program prior to joining the public service in 1995 as Secretary of the Department of Commerce and Industry.
He was the former Chief Secretary to Government and Secretary, Department of Prime Minister and NEC until his appointment as CEO of Petromin in March 2007.
Mr. Kalinoe is a member of the Air Niugini Board and was a member of a number of other boards in both the public and private sectors, including that of Ramu Sugar Limited, Hargy Oil Palm Limited, Bank of PNG and the Investment Promotion Authority.
He has held senior managerial line positions in both the public and private sectors, including General Manager, Corporate and Government Affairs, PNG Halla Cement Limited and Company Secretary, Stettin Bay Lumber Company Limited.


Mr. Sumasy Singin

Mr. Sumasy Singin, OBE
Director

Sumasy Singin has a Bachelor's degree in Law from UPNG and a Masters of Law degree in Public and International Law from Melbourne University.
He is a current Director of PNG Dams Limited and former Chairman of Independent Public Business Corporation of PNG. He is also a part-time UPNG lecturer in law.


Mr. George Minjihau

Sir Peter Barter, Kt. OBE
Director

Sir Peter is a well respected statesman and a prominent businessman.

He has contributed to the development of Papua New Guinea through his business activities as the owner and operator of Melanesian Tourist Services, the largest tourist organisation in PNG and as a twice elected Member of Parliament and Government Minister.
In 1992 he was elected to Government as the Provincial Member for Madang and became a shadow minister in the opposition, later joining the Government where he was appointed the Minister for Health, Governor of the Madang Province and Minister for Provincial and Local Government Affairs. In 2002, he was elected as Governor of Madang Province before becoming the Minister if Inter Government Relations and Bougainville Affairs and was also appointed as Health & HIV Minister. He did not recontest the 2007 National Elections. He has retired from politics and manages his business, the Melanesian Tourist Services.
Sir Peter has served on numerous Boards including PATA, Tourism Promotion Authority, MVB, Mama Graun & Nature Conservancy, Modilon Hospital, the National Events Council and was Chairman of the Management Group of the PNG Incentive Fund.
He is currently the Chairman of MTS Group of Companies, Chairman of the Melanesian Foundation and Council Member of the Divine Word Institute.
He also operates the Melanesian Foundation which primarily serves humanitarian needs in PNG.
Sir Peter is a naturalised citizen of Papua New Guinea. He was awarded an OBE in 1980 and received a knighthood from the Queen in 2001.


Mr. Jerry Wemin

Mr. Jerry Wemin
Director

Mr Jerry Wemin has an Australian Masters Degree in Development Management and a Bachelor of Arts Degree from University of Papua New Guinea, 1988. He has a number of International Certificates of Distinctions in Total Quality and Human Resource (HR) Management. Mr Wemin is a Founding Member of the Institute of Company Directors and the Fellow of the Institute of Management.

Mr Wemin is President and Chairman of the Board of Papua New Guinea Human Resource Institute and represents the country on the Board of Asia Pacific Federation of HR Managers for seven years. He is also Chairman of the Board of Trustees of the PNG Tertiary Students Christian Fellowship with more than 66 tertiary institutions in PNG. He is also on the Board (University Council) of the University of Papua New Guinea. Mr Wemin has formerly served on a number of church, government and corporate boards.

Mr Wemin is a Human Resource Management (HRM) Specialist spanning 16 years. He was last employed as the HR Specialist with Air Niugini before joining the former PNG Banking Corporation as HR Planning and Development Manager. He was Group HR Executive Manager with the Finance Pacific Limited before joining the Institution of Engineers as the Chief Executive Officer for a three year term. After which he was undertaking freelance consulting work with many high profile corporate bodies. He has been a Senior Lecturer in the School of Business and Administration at the University of Papua New Guinea and undertakes a number of HR Consulting and Advisory role including the Sanap Wantaim PNG Australia HIV/AIDS program as Adviser.

Mr Wemin is a certified NTC trainer and accredited Deakin University HRM Lecturer.


Mr. Bill Searson, CBE
Director

William (Bill) Searson C.B.E, B.Sc was the head of Department of Mining and Energy from 1983 - 1990.

During his tenure, there were numerous discoveries and development of world class resource projects such as OK Tedi and the Porgera Gold Mine. His active involvement in promoting the Papuan Basin eventually led to the discovery of commercial amounts of Oil at Kutubu.
Mr Searson has a Bachelor's degree in Geology from the University of Papua New Guinea and was PNG's first national geologist. After retiring from Goverment service, Mr Searson has continued as an independent Consultant to mine development projects such as Lihir, Simberi, Ramu, Hidden Valley and Gold Ridge in the Solomon Islands.
He has served on various boards and was chairman of the PNG Electricity Commission Board from 1983 - 1990. During his tenure, he saw the construction of the Yonki Hydro Power Dam and the Rouna Hydroelectricty Project.
Mr Searson is also a current board member of Mineral Resources Development Company Limited (MRDC).


Mr. Muri bin Muhammad
Director

Muri bin Muhammad is a non-resident independent Director of Petromin PNG Holdings Limited.

Mr. Muhammad is from Malaysia and has many years of LNG experience at Board and managerial level. Mr. Muhammad holds a Master of Science in Biological Oceanography from Dalhousie University, Halifax, Canada.
He joined PETRONAS in 1975 and after serving for 27 years in various capacities, retired as Vice President, Gas Business of PETRONAS in 2002. On his retirement, he was appointed Advisor to Gas Business until end of March 2005.
He served in various management positions including the Managing Director/Chief Executive Officer of ASEAN Bintulu Fertilizer Sdn Bhd, Managing Director/Chief Executive Officer of Malaysia LNG Sdn Bhd and Vice President, Gas Business of PETRONAS and was also on the Board of various Petronas subsidiaries. In 2005, he was appointed by the Malaysian Government as a member of the Energy Commission of Malaysia for two years.
He is currently a Director of a number of gas pipeline companies including, Australian Pipeline Trust (APT), a publicly listed Australian gas pipeline company, Transportadora de Gas del Norte (TGN) and Transportadora de Gas del Mercosur (TGM), both of Argentina.
He has been appointed for a 3 year term commencing 3 March 2009.


Mr. Ian Goddard
Director

Ian Goddard is a Non- Executive Member of the Petromin Board of Directors.
Mr Goddard is a Mining Engineer with a distinguished Operational and Executive Management career.
He has extensive knowledge and genuine interest in the development of Papua New Guinea and is well regarded in the industry within Australia and Internationally. Mr Goddard has vast experience in the resource sector in PNG.
He was previously Managing Director and CEO of Highlands Gold Ltd and over 9 years in PNG was involved in the development of the Porgera mine plus leading exploration and pre-feasibility studies for an array of gold and base metal projects including Frieda, Ramu and Kainantu.
Mr Goddard was also a previous President of PNG Chamber of Mines and Petroleum and the PNG Employers Federation as well as various advisory boards to PNG educational institutions.
He has held a number of board and executive positions in various organisations including Metallica Minerals, Morobe Consolidated Gold Fields, JDA and the Cooperative Research Centre for Vaccine Technology. He is also a member of the Australasian Joint Ore Reserves Committee.


Mr. Richard Tengdui
Director

Richard Tengdui is a Non-Executive Director of Petromin PNG Holdings Limited.
He was appointed a Non-Executive Director for a 3 year term, beginning 5 May 2010.
Mr Tengdui is from Western Highlands Province. He is a registered public accountant, registered company auditor, registered liquidator and registered tax agent.
Mr Tengdui has a Bachelor of Accountancy from the PNG University of Technology and a Post Graduate Diploma in Accounting & Financial Management from the University of New England, in New South Wales, Australia.
His career as an accountant began in 1981 when he joined with Coopers & Lybrand where he was involved in audit accounting, liquidation and taxation matters.  Later he became Financial Controller of Timbersales PNG Ltd in Rabaul and he is currently the Principal of Tengdui and Associates Certified Practicing Accountants which he started in 1990. An active member of the Certified Practicing Accountants of PNG, Mr Tengdui has been past president of the PNG Institute of Accountants (now CPA) Lae Branch, and Mt Hagen Branch. He is a former Member of the Accountants Registration Board of Papua New Guinea.
Mr Tengdui has carried out several successful audits of State owned institutions including the Coffee Industry Corporation, the PNG Forest Authority, the Cocoa Board of PNG and the PNG Medical Research Institute.
In the resource industry in Papua New Guinea, Mr Tengdui has experience with Hides Gas Landowner and Ok Tedi Landowner Companies.
